1. What these terms do and don’t cover
These terms cover your use of this website.
They do not govern paid work. Any consulting engagement, procurement, or managed service we provide is governed by a separate written agreement — a proposal, statement of work, service order, or contract signed by both parties. Where that agreement conflicts with these terms, that agreement controls.
Nothing on this site constitutes an offer capable of acceptance, and no contract is formed by submitting a form, downloading a document, or exchanging emails.
2. About our services
DelaxCom is an independent IT and telecommunications consultancy. We advise on and broker connectivity, software licensing, unified communications, cybersecurity, AI integration, and web development.
We are an authorised Microsoft indirect reseller. Except where expressly stated, we are not the manufacturer, carrier, or licensor of the products and services we recommend or resell.
3. Information on this site
We work to keep the site accurate, but content is provided for general information only. Specifications, availability, service levels, and pricing for connectivity and software change frequently and vary by location, carrier, and contract.
Nothing on this site is a quote, a commitment to perform, or a guarantee of availability at your address. Pricing and service levels are established only in a written quote or signed agreement.
Information here is not legal, financial, regulatory, or compliance advice. Consult a qualified professional before acting on it.
4. Quotes and estimates
Quotes and rough order of magnitude (ROM) pricing we provide — including budgetary pricing supplied to government buyers for cost estimation purposes — are:
- Non-binding unless stated otherwise in writing
- Valid only for the period stated, or 30 days if unstated
- Subject to carrier survey, site validation, credit approval, and vendor confirmation
- Subject to change if the requirement, site conditions, or vendor terms change
5. Third-party products and services
Many of our services involve products from third parties — carriers, Microsoft, cloud providers, security vendors, and others.
Those products are governed by the third party’s own terms, licences, and service level agreements, which you accept directly with them. Service credits, uptime commitments, and warranties for a carrier circuit or software licence are provided by that carrier or vendor, not by DelaxCom.
We will advocate on your behalf with vendors, escalate faults, and manage the relationship where we have agreed to do so. We are not liable for a third party’s outages, price changes, discontinued products, or failure to perform.
This site may link to third-party sites we do not control and are not responsible for.
6. Your responsibilities
When you use this site or engage with us, you agree to:
- Provide accurate information
- Not upload malware, or files you lack the right to share
- Not submit classified, export-controlled, or otherwise restricted material through this website
- Not attempt to gain unauthorised access to the site or its systems
- Not use the site unlawfully, or to infringe anyone’s rights
Do not upload classified or controlled unclassified information requiring a secure transmission method. Our upload facility is intended for publicly posted solicitations, statements of work, and similar documents. If your material requires protected handling, call us on 515-298-7392 and we will arrange an appropriate channel.
7. Our AI assistant
The site assistant is an automated tool powered by a third-party AI provider. It is offered for convenience and general information.
Its responses may be inaccurate, incomplete, or out of date, and are not advice, a quote, or a commitment on our part. It cannot bind DelaxCom to anything. Nothing said by the assistant creates a contract or modifies these terms or any agreement between us.
Do not enter confidential, proprietary, or sensitive personal information into the assistant. See our Privacy Policy for how those conversations are handled.
8. Intellectual property
The content, design, text, graphics, and code of this site are owned by DelaxCom LLC or our licensors and are protected by copyright and other laws.
You may view, download, and print materials — including our capability statement — for your own business or procurement purposes. You may not republish, resell, or present our materials as your own.
Third-party names and logos on this site belong to their respective owners. Their appearance indicates a business relationship or product we work with, not endorsement by them of DelaxCom.
Work product created under a signed engagement is governed by that agreement, not by this section.
9. Submissions
Information and documents you submit remain yours. You grant us permission to use them for the purpose you submitted them — responding to your enquiry, preparing a quote, or responding to a solicitation.
If you send us feedback or suggestions about our services or this site, you agree we may use them without obligation or compensation.
10. Confidentiality
We treat non-public information you share with us in connection with a prospective or actual engagement as confidential, and will not disclose it except to our personnel and subcontractors who need it, or as required by law.
Where an engagement warrants it, we will sign a mutual non-disclosure agreement. For government work, we will sign an NDA or teaming agreement ahead of a proposal.
11. Government contracting
Where we contract with or subcontract to a federal, state, or local government entity, the terms of that contract — including applicable FAR and agency clauses — govern that work, and take precedence over these terms.
Representations about our business size and socioeconomic status are made in SAM.gov. Our website and capability statement reflect those representations, but SAM.gov is authoritative, and contracting officers should verify there.
12. Disclaimer of warranties
This site and its content are provided “as is” and “as available.”
To the fullest extent permitted by law, DelaxCom disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.
This section applies to the website. Warranties for services we perform are set out in the applicable engagement agreement.
13. Limitation of liability
To the fullest extent permitted by law:
DelaxCom is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising from your use of this site — even if we have been advised such damages are possible.
Our total liability arising out of or relating to this website will not exceed one hundred US dollars ($100).
Liability for services we perform is governed by the applicable engagement agreement, which will set its own limits.
Some jurisdictions do not permit certain exclusions, so parts of this section may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless DelaxCom LLC, its members, and its personnel from claims, damages, and reasonable legal fees arising from your misuse of this site, your violation of these terms, or your violation of any law or third-party right.
15. Term and changes
We may modify, suspend, or discontinue the site or any part of it at any time.
We may update these terms. The date at the top will change, and continued use of the site after an update means you accept the revised terms. Changes do not apply retroactively to a dispute that arose earlier.
16. Governing law and disputes
These terms are governed by the laws of the State of Iowa, without regard to its conflict of laws rules.
Any dispute arising from this website will be brought exclusively in the state or federal courts located in Polk County, Iowa, and you consent to their jurisdiction.
Where DelaxCom contracts with a government entity, the dispute resolution provisions of that contract control.
17. General
If any provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. These terms, together with our Privacy Policy, are the entire agreement between us regarding this website.
